Welcome to BlueRavenCo.com (the "Site"). Blue Raven Company operates the Site to permit those interested in the goods and services we offer to interact with us. The content on all pages of the Site may not be used for any other purpose.

These Conditions of Sale govern the terms on which all goods or services are offered and sold on our site whether Blue Raven Company are acting as agent on behalf of the owner or as principal where we own the goods. If you chose to visit BlueRavenCo.com, by entering our site, you agree to be bound by these Conditions, including all guidelines, policies, and procedures incorporated herein by reference.

Blue Raven Company may change the Site, our policies, or these Conditions of Sale without notice. Changes to the Conditions of Sale will be effective thirty days (30) after posting on the Site; changes to other guidelines, policies or procedures referenced herein will be effective immediately as they are posted. It is the responsibility of site users to note any changes applicable to them. CONTINUED USE OF THE SITE FOLLOWING THE POSTING OF ANY CHANGES WILL CONSTITUTE YOUR ACCEPTANCE OF SUCH MODIFICATIONS. IF YOU DO NOT AGREE WITH ANY OF THESE CONDITIONS, DO NOT USE THE SITE.

By accepting the Conditions of Sale, you also agree to abide by the guidelines and procedures contained in our Terms of Use and to accept our Privacy Policy.

Legal Stipulations Relating to Blue Raven Company

1. Role of Blue Raven Company.
   Blue Raven Company acts as agent for the owner of goods, or as principal where we are the owner of the goods.
   
   
2. Credit Card Charge-backs.
   Blue Raven Company may verify your identity before finalizing a transaction, in order to minimize charge-backs.
   
   
3. Reimbursement.
   We reserve the right to determine whether to reimburse under our Authenticity or Physical Condition Guarantee. We will reimburse any erroneous or duplicate transactions or if we are unable to promptly deliver the goods as agreed.
   
   
4. Payments to Blue Raven Company.
   We may determine, in our sole discretion, the appropriate method of payment. Users may pay through our Site's credit card capabilities, provided by the secure Planet Payment TM system, through a wire transfer to a specified account, or by any other fund transfer system we approve. We will not be liable to you if you transmit payment according to the instructions provided by the Site, but we do not receive such payments. In such case, you must retrieve erroneously transmitted payments and settle the account before we will ship the goods.
   
   
5. Payments Generally.
   We facilitate the purchase of goods or services on the Site by charging customers the Total Purchase Price (defined below), subject to the terms of this agreement. "Total Purchase Price" means the List Price plus all applicable sales tax, Goods and Services Tax ("GST") or any other taxes or charges that we, as a vendor of goods and services, are required to collect pursuant to applicable law, plus shipping costs, custom duties (if applicable) and transit insurance charges.
   
   
6. Confirmation and Shipping.
   We will confirm the Total Purchase Price for the transaction, including the sales tax, GST, or other taxes applicable to the transaction, and shipping costs, custom duties (if applicable) and transit insurance charges. We will complete an Invoice and transmit it to you and request payment authorization for the Total Purchase Price. When payment is cleared through our account, we will send an email message confirming receipt and arrange shipping promptly. We will provide a valid shipment tracking number so that you may track shipment of your goods. We ship goods fully insured for all risks of loss or physical damage, with insurance coverage equal to not less than the Total Purchase Price less the cost of the insurance premium. If we cannot ship a purchased item within thirty days (30), you may request a refund of any sums paid.
   
   
7. Property Policy.
   We comply with all applicable laws and must obtain, if able, the necessary permits to sell and ship property that contains products obtained from protected animals or other endangered species.

Legal Stipulations Relating to Buyers

1. Payment
   You will be notified by an email message, or telephone, to allow us to confirm your order and the Total Purchase Price. "Total Purchase Price" means the List Price plus all applicable sales tax, GST, or any other taxes or charges that we as a vendor of goods and services are required to collect pursuant to applicable law, plus shipping costs, custom duties (if applicable) and transit insurance charges.
   
   Buyers must arrange payment of the Total Purchase Price in a manner acceptable to Blue Raven Company. You may authorize a charge to your VISA card, MasterCard, or American Express card by using the Planet Payment TM system provided by the Site. The credit card must be valid, issued in your name from an account in good standing with a reputable financial institution and have sufficient available credit to process the Total Purchase Price. Acceptance of payments by any other means is at our discretion.
   
   Buyers may place an item on Layaway for up to 30 days upon payment of a non-refundable deposit of 25% of the Total Purchase Price. Upon expiry of 30 days, the deposit will be forfeited unless we have agreed to other arrangements.
   
   
2. Confirmation and Shipping
   When payment of the Total Purchase Price has cleared our account, we will supply you with a shipment tracking number to track your shipment to the street address you supplied. Buyers must pay insurance, packaging, and shipping costs together with any costs of export and import, including, without limitation, duties, fees (brokerage or other) and costs of permits, which in some cases may be substantial. Buyers must also be aware that packaging and shipping costs may be substantial, particularly if the item is of large size or weight, or requires special packing due to its fragility or construction. Risk on all items sold by Blue Raven Company passes to the buyer when delivered to the carrier. We are not responsible for the acts or omissions of carriers or packers. Packing and handling of purchased lots is at the entire risk of the buyer (subject to our obligation to insure as provided in this Agreement). We will ship purchased goods in the manner required under this agreement by a method we deem reasonably appropriate to safely deliver the purchased goods to your order, subject to the standard terms of business of the shipper employed. Buyers must provide a street address for delivery of property purchased from the Site. We will not ship property to a post office box.
   
   Transit insurance does not generally cover loss or damage caused by wear and tear, gradual deterioration, moths, vermin, inherent vice, restoration or retouching; damage sustained due to any hostile action, seizure or destruction under quarantine or customs regulation, confiscation by order of any government or public authority, nuclear reaction or nuclear radiation whether controlled or uncontrolled, or any loss or damage attributable to willful misconduct of the assured.
   
   In the event of loss or damage to a shipment, buyers should retain all packing materials and any of the contents of the package(s) and contact the shipper promptly in order to make a claim.
   
   
3. Charges and Disputes
   We will process and ship the property when payment of the Total Purchase Price has cleared our account. Buyers are bound by any credit-card charge authorized to pay for a transaction. You agree not to attempt to revoke a charge to your credit card, attempt to exercise any other rights with respect to consumer credit transactions to obtain a refund or attempt to recall a wire transfer or other form of payment.

By accepting these Conditions of Sale and using our Site, you agree that all transactions conducted on this Site are governed by British Columbia law, and consent to exclusive jurisdiction of the courts of British Columbia, Canada.

1. Currency
   All prices are quoted in United States dollars.
   
   
2. Operation of Site and Taxes
   Blue Raven Company operates the Site to offer artwork or services to users of the Site.
   
   Unless exempt by law, buyers must pay in addition to the List Price sales tax, GST or other applicable transactional tax. Blue Raven Company and their customers are both responsible to determine the application of sales tax, GST, or other taxes that apply to the transaction and to collect, report and remit the correct tax to the appropriate tax authority.
   
   We will collect the Total Purchase Price for the goods or services purchased. "Total Purchase Price" means the List Price plus all applicable sales tax, GST, or any other taxes or charges that we as vendor are required to collect pursuant to applicable law, plus shipping costs, custom duties (if applicable) and transit insurance charges. Blue Raven Company guarantees the authenticity and physical condition of goods sold on our Site as detailed in Paragraph 4.
   
   
3. Limitations of Guarantees
   Goods offered by Blue Raven Company are subject to certain guarantees as to authenticity and physical condition detailed below. These goods may be of some age or character which precludes their being in pristine condition. Other than these certain guarantees, all goods are sold "AS IS", and we do not guarantee, warrant, or represent, expressly or impliedly these goods concerning, without limitation, their merchantability, age, fitness for a particular purpose, quality, rarity, importance, provenance, exhibitions, literature or historical relevance or otherwise. No statement anywhere, whether oral or written, shall be deemed such a guarantee, warranty or representation. We also do not represent or warrant that buyers acquire any reproduction rights or intellectual property rights in the goods we offer.
   
   
4. Other Guarantees
   Blue Raven Company guarantees those statements made in fields labeled "Guaranteed" on the description page. Information in italicized text provides additional detail about the property, but it is not guaranteed by us. A sale is not subject to rescission if any of this non-guaranteed information proves inaccurate. Statements relating to the authenticity, creator and culture or origin of the property are qualified by the limitations detailed below, even if the statement is made in the field labeled "Guaranteed" on the description page.
   
   (i) Authenticity Guarantee. Subject to the limitations set forth herein, Blue Raven Company guarantees that (a) the lot is not a counterfeit (defined below), and (b) the creator or originator of the property, and/or the date on which or period during which the property was created, and/or the culture or origin with which the item is identified, conform with the Guaranteed Property Description of the property (the "Authenticity Guarantee"). If the Guaranteed Property Description does not describe the artist, date, period, culture or origin of a lot, no guarantee is made as to such attributes. The Authenticity Guarantee is given to the person who purchased the property on the Site and not to any subsequent owner. "Counterfeit" means a deliberate modern imitation created with the intention to deceive authorship, origin, date, age, period, culture or source (where the correct description of such matters is not reflected by the description of the property) and which, at the date of the sale, had a value materially less than it would have had if the item conformed with the Guaranteed Property Description. No item shall be considered counterfeit by reason that it has been restored or modified in any way.
   
   The Authenticity Guarantee does not apply to:
   
   · Any description containing a qualified opinion on the authorship of the lot; or
   · A counterfeit identified by a method or process not in general use until after the date of sale or which was unreasonably expensive or impractical or was likely to cause damage or loss of value to the item.
   
   If a sale is subject to rescission under this part or applicable law, Blue Raven Company will rescind the sale in accordance with paragraph (iii) below, provided the property is returned to our place of business in the same condition as it was at the time of sale and free from any claims by third parties. We may require the written opinion of up to two recognized experts in the relevant field as a condition to recession.
   
   (ii) Physical Condition Guarantee. Blue Raven Company warrants for a period of 3 days from the date the lot is delivered to the buyer that the description of a lot's physical condition is substantially correct based upon fair reading of the description of the item taken as a whole. This warranty is not made to any owner subsequent to our customer. If it is determined to our reasonable satisfaction that the description of an item's physical condition is not substantially correct based upon a fair reading of the description of the item taken as a whole, we will rescind the sale in accordance with paragraph (iii) below, provided the property is returned to our place of business in the same condition as it was at the time of sale and free from any claims by third parties. When evaluating items on the Site, users should consider the age and past use of the property and assume that the property will exhibit signs of reasonable usage and age.
   
   (iii) Sole Remedy. The rescission of a sale and refund of the Total Purchase Price is exclusive and in lieu of any other remedy that might be available in law, or equity. Those who purchase goods or services from Blue Raven Company are not entitled to incidental or consequential damages incurred or claimed.
   
   
5. Refunds
   If a refund is required pursuant to this Agreement (including, without limitation, by reason of any breach of any of the guarantees specified in paragraph 4 of these Terms and Conditions), then Blue Raven Company will promptly return the Total Purchase Price.
   
   
6. Refusal of Transaction
   Blue Raven Company may withdraw lots from the Site or edit content on the Site. We may refuse to process a transaction for any reason or refuse service to anyone at any time in our sole discretion. We will not be liable to any customer by reason of withdrawing any lot from the Site, editing content on the Site, refusing to process a transaction or unwinding or suspending any transaction after processing has begun.
   
   
7. Monitoring
   We may (without the obligation) monitor activity on the Site. We may investigate any reported violation of Site policies or complaints and take any action that we deem appropriate (which may include, but is not limited to, issuing warnings, suspending or terminating transactions). Blue Raven Company may also investigate, in our sole discretion, the use of any credit card, and take the action we consider appropriate, including without limitation, contacting the user of that card or canceling orders made using the card.
   
   
8. Compliance with Laws
   User of our Site must comply with all applicable laws, statutes and regulations.
   
   
9. Place of Contract; Disputes
   Blue Raven Company reserves the right to reject any purchase at any time. The purchase contract is completed when the payment process is concluded. If identical purchase attempts are made for the same item, the first purchase order we receive will take precedence. Blue Raven Company has the final discretion to determine the successful party between competing claimants to the same lot. The sale contract is completed in Deroche, British Columbia, Canada.
   
   
10. Fraud
    Users of blueravenco.com may not purchase an item under a false name, or use an invalid or unauthorized credit card. Such fraudulent conduct violates applicable laws and may be reported to law enforcement authorities. Blue Raven Company will fully cooperate with law enforcement authorities.
    
    
11. Import/Export Restrictions
    Cultural or custom permits may be required to lawfully export items offered on our Site from the country in which the goods are located or to import them to their destination. Some items may be subject to a right of pre-emption or compulsory purchase by the country from which they are to be exported. Blue Raven Company will ensure that the item is properly and lawfully exported from the country in which it is located. Importation of the goods into the destination country is the responsibility of the purchaser.
    
    
12. Risk of Loss; Title
    Title to the property and risk of loss pass to the purchaser upon delivery to the shipper. If goods are damaged in transit, purchasers should contact the shipping agent and process a claim under the applicable insurance policy. Blue Raven Company is not obligated to take back property damaged in transit. We will insure goods during transit and provide reasonable assistance to help purchasers resolve damage claims with the insurer.
    
    
13. Governing Law; Language
    These Conditions of Sale and the rights and obligations of the parties are governed by British Columbia law. Users of our Site are deemed to consent to the exclusive jurisdiction of the British Columbia courts concerning any matter arising out of or in connection with the Site, any transactions conducted on or through the Site and the Conditions of Sale. Users of our Site agree not to prosecute any matter other than in the British Columbia courts. Use of this Site shall be deemed to have occurred and taken place solely in British Columbia. The language of this Site is English. For a translation, link to http://www.systransoft.com. Translations may be presented in languages other than English for the convenience of users. If there is inconsistency between the translated version of this agreement and the English version, the English version will prevail.
    
    
14. Privacy
    We respect your privacy. To review our Privacy Policy, follow this hyperlink. We may alter the Privacy Policy. It is your responsibility to check for changes to our Privacy Policy. Blue Raven Company may report suspected violations of any law or regulation to the appropriate law enforcement officials, regulators, or other third parties. We will fully cooperate with governmental requests for information and may access and disclose any information they consider necessary or appropriate, including, without limitation, user contact details, IP addressing and traffic information, usage history and posted content to maintain the integrity of the Site, our business system, and the privacy of Site users.
    
    
15. Disclaimer of Warranties
    Blueravenco.com is provided "AS IS" and "AS AVAILABLE". Blue Raven Company makes no other representations or warranties of any kind, express or implied, with respect to the Site, any property or service offered on the Site or any transaction that may be conducted on or through the Site, including without limitation: a. implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement; b. that the Site will meet user requirements, will always be available, accessible, uninterrupted, timely, secure or operate without error; c. any implied warranty arising from course of dealing or usage of trade; and d. any obligation, liability, right, claim or remedy in tort arising from the negligence of Blue Raven Company or our employees or agents. Blue Raven Company disclaims any and all such warranties to the fullest extent permissible under applicable law.
    
    
16. Limitation of Liability
    Blue Raven Company and our affiliates will not be liable for any damages of any kind arising from the Conditions of Sale, the Site, the inability to use the Site or from any goods or services obtained through the Site.
    
    
17. Indemnity
    You agree to hold Blue Raven Company and our subsidiaries, affiliates, officers, directors, agents, and employees harmless from any claim, including legal expenses actually incurred, made by any third party due to or arising from your breach of these Conditions of Sale, our Terms of Use, or our Privacy Policy, or your violation of applicable law or the rights of any third party.
    
    
18. Ownership
    All content on the Site, including without limitation text, graphics, logos, button icons, images, audio clips and software, is the property of Blue Raven Company. The content and software on our Site may be used as an educational or shopping resource. Any other use, including the reproduction, modification, distribution, transmission, re-publication, display or use in a performance of content from our Site is strictly prohibited.
    
    
19. Termination
    Blue Raven Company may, in its sole discretion, terminate the right of any user to purchase products or services from the Site, or prevent access to the Site without notice.
    
    
20. Severability; Nonwaiver
    If any provision of this Agreement is found unlawful, void, or unenforceable, then that provision shall be severed and shall not affect the validity and enforceability of the remainder of the Agreement. Our failure to exercise any rights or to enforce the strict performance of any provision of this Agreement will not constitute a waiver of our right to exercise such rights or to enforce such provision or any other provisions of this Agreement in that or any other instance. Any waiver must be in writing signed by an authorized representative of Blue Raven Company specifically referencing this Agreement and the provision to be waived.
    
    
21. Entire Agreement
    This Agreement constitutes the entire agreement between the parties and supersedes and cancels all prior and contemporaneous agreements, claims, representations and understandings in connection with the subject matter hereof.

We reserve the right, in our absolute discretion, to suspend or terminate your right to access our Site if we learn that you have provided us with false or misleading information, interfered with other users or the administration of our services, or violated, or attempted to violate these Terms of Use or the Conditions of Sale.

You agree to indemnify, defend and hold harmless Blue Raven Company and its officers, directors, employees, consultants and agents from any and all third party claims, liability, damages and/or costs, including, but not limited to, attorneys fees, arising from your use of our services, use of the Site, your violation of the Terms of Use or your infringement of any intellectual property or other right of any person or entity.

Ownership
All content included on the Site, such as text, graphics, logos, button icons, images, audio clips and software, is the property of Blue Raven Company. The content and software on our Site may be used as a shopping and educational resource. Any other use, including the reproduction, modification, distribution, transmission, republication, display or performance, of the content on this Site is strictly prohibited.

Applicable Law
These Terms of Use are governed by British Columbia law, without giving effect to its conflict of laws provisions or user's residence. Persons using this Site consent to the exclusive jurisdiction of the British Columbia courts. These

Terms of Use and if applicable, the Conditions of Sale constitute the entire agreement between the parties concerning the subject matter hereof and supersede all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter.
